Scott Guan is a co-managing partner of Jade & Fountain PRC Lawyers, and a senior partner in the firm's corporate and M&A group.

Scott has extensive experience in mergers and acquisitions, private equity and venture investments, capital markets, foreign direct investment, corporate restructurings, dispute resolution, as well as general corporate and business advice. Scott's recent experiences include acting for a leading European multinational in acquiring the shares of a Chinese state-owned company, representing a large Chinese pharmaceutical corporation in asset and business spin-off, advising a leading German automotive parts multinational in establishing a holding company in Shanghai and in restructuring its China business, advising international venture capital and private equity funds in investment projects in China, providing PRC advice to Chinese companies listed on overseas stock markets and working with their international financial and legal advisors, and representing a number of international investors in setting up and operating their business in China.

Scott holds engineering and law degrees from both Chinese and Canadian institutions. He has practiced law with leading Chinese, Canadian and British law firms in Shanghai (King & Wood), Toronto (Blake, Cassels & Graydon LLP) and Hong Kong (Linklaters).

In addition to his practice, Scott has lectured and written on a number of topics in the commercial law area, and has published articles and two books on China's telecommunications regulation.

Scott also sits on the board of a number of Chinese subsidiaries of North American and European companies.
